    Adopt a resolution authorizing the Director of Finance or her designee to: (a) Select and purchase City property, liability, and executive risk insurance policies for the period of October 1, 2026, to October 1, 2027, at a total cost not-to-exceed $3,851,011, as well as an 18% contingency for additional property or assets scheduled, subject to the appropriation of funds, with the following insurance carriers: (1) Factory Mutual Insurance Company for Property Insurance, including Boiler and Machinery and Terrorism Risk Insurance Act Coverage; (2) Beazley Excess and Surplus Lines Insurance, Inc for Terrorism Insurance; (3) The Princeton Excess and Surplus Lines Insurance Company, Ironshore Specialty Insurance Company, and Arch Specialty Insurance Company for $15 million in Excess Flood Insurance on a 50/50 quota share basis; (4) Gemini Insurance Company for Auto Liability Insurance for the vehicle fleets at the San José Mineta International Airport and San José - Santa Clara Regional Wastewater Facility; (5) Hanover Insurance Company for Auto Physical Damage for the Airport shuttle buses; (6) Lexington Insurance Company for Secondary Employment Law Enforcement Professional Liability; (7) Arch Insurance Company for Accidental Death, Accidental Dismemberment, and Paralysis Policy for the Police Air Support Unit; and (8) Great American Insurance Company for Government Fidelity/Crime Coverage.     Adopt a resolution authorizing: (a) The Housing Director, or his designee, to negotiate and execute: (1) An Exclusive Negotiation Agreement for a three-year term, and two six-month extensions, at the City’s discretion, and any ancillary documents with Episcopal Community Services of San Francisco and affiliates, allowing them to entitle a development that for a final proposal for: (i) The conversion of the existing Arena Hotel project into housing units restricted to households with area medium income and rents consistent with the project's HomeKey agreement; and (ii) The potential future construction of mixed-income housing on the existing parking lot portion of the site, serving households earning at or below 120% of the area median income; and (2) A Right of Entry Agreement with Episcopal Community Services or its affiliates to allow access to the Arena Hotel property to conduct the due diligence necessary to satisfy the milestones to be set forth in the Exclusive Negotiation Agreement; and (3) A three-year Exclusive Negotiation Agreement with the possibility of two six-month extensions, at the City’s discretion, and any ancillary documents, including a Right of Entry Agreement with the second highest scoring respondent, Propertyworx LLC or its affiliates for the final proposal of a housing development project on the Arena Hotel property, if Episcopal Community Services is unable to successfully execute an agreement with the City or does not comply in a timely and diligent manner with any material obligation under the Exclusive Negotiation Agreement; and (b) The City Manager, Housing Director, or their designees, to negotiate and execute: (1) An amendment to the Homekey Program Standard Agreement with the California Department of Housing and Community Development to remove A0729 San Jose L.P., Urban Housing Communities LLC, and HomeFirst Services of Santa Clara County as co-applicants, co-grantees, operator, designated payee, and/or other responsible party identified in the Standard Agreement and related Homekey documents for the Arena Hotel, and to identify the City as the sole grantee and responsible party under the Standard Agreement; and (2) Documents necessary to unwind, terminate, or amend project agreements with Urban Housing Communities LLC or A0729 San Jose L.P., including the ground lease, the Acquisition and Rehabilitation Grant Agreement, operating agreements, grant agreements, or other related agreements.
